The Riverwalk Social & Activities Club, Inc. is a 501(c)(7) non-profit organization established to organize and supervise activities, both social and civic, for the benefit of all residents and their guests at Village at Riverwalk, North Port, FL.
RIVERWALK SOCIAL & ACTIVITIES CLUB, INC.

ARTICLE I: Name
The name of this club shall be Riverwalk Social & Activities Club, Inc.,
(aka Riverwalk Social Club).
Located at 150 Riverwalk Drive, North Port, FL 34287.
ARTICLE II: Purpose
To organize and supervise entertainment and events for the benefit of all residents and their guests at Village at Riverwalk, North Port, Florida, as a domestic not-for-profit corporation.
ARTICLE III: Membership
All residents at Village at Riverwalk are members of the Riverwalk Social & Activities Club, Inc. (aka Riverwalk Social Club)
ARTICLE IV: Officers, Qualifications, Duties and Terms
Section 1 – Elected officers of the Riverwalk Social & Activities Club, Inc. are as follows:
President, Vice President, Secretary, Treasurer, and Social Director, Communications Director, and Membership Director.

Section 3 – Terms and Qualifications
The terms of all officers shall be for two (2) years commencing January 1st.
Section 4 – Quorum
A quorum for planning/business meetings will be defined as three (3) of the members of the board, or their appointed representatives. A quorum will be required to conduct all business.
A quorum for regular/general meetings will be twenty-five (25) residents (one vote per Social Club member). Voting members include both shareholders and non-shareholders but not seasonal renters (non-homeowners).
ARTICLE V – Meetings
Section 1 –
The regular/general meeting of Riverwalk Social & Activities Club, Inc. will be held the third Wednesday of each month (October through April). Meetings may be postponed or rescheduled in case of emergency or extraordinary situations.
Section 2 –
The business/planning meetings of Riverwalk Social & Activities Club, Inc. will be held in the first or second week of each month as determined by the Social Club Board of Directors.
ARTICLE VI: Nominations and Elections
Section 1 –
The Nominations and Elections Committee shall consist of three members who will be appointed by the President prior to September 1st. This committee will seek out and find potential candidates to run for office and post a sign-up sheet on the bulletin board for volunteers for the various offices open. The committee will also seek out two (2) volunteers to assist with the election process. The terms of these committees will end at the conclusion of the election.
Section 2 –
The Nomination and Election Committee will present a list of candidates for office to the membership at the November regular/general meeting. Nominations will be accepted from the floor and will close at the end of the business meeting.
Section 3 –
The election will take place at the December regular/general meeting. Prior election rules will prevail. One vote per homeowner sign-in is required. Proxies and absentee ballots will be made available.
If elections cannot be conducted due to a natural disaster, national emergency or a national health crisis, the existing Board Members will remain in office until such time as its determined to be safe to hold gatherings large enough to conduct a vote to elect new board members.
Section 4 –
Any resident who will not be present the day of election and wishes to have a vote should submit a completed and signed ballot in a sealed envelope to the Election Committee chairperson prior to Election Day. Any resident who requires a proxy or absentee ballot must request such from the Nomination Committee Chairperson.
ARTICLE VII: Members-a- Large
The Social Club Board of Directors may, at its discretion, invite up to four (4) members of the community to become Members-at-Large board members and will not have voting rights. Their roles will primarily be that of advisors to the board offices with respect to policies, procedures and event decisions.
ARTICLE VIII: Bylaw Committee
The Bylaws Committee Chairperson shall be appointed by the President of Riverwalk Social & Activities Club, Inc.
ARTICLE VIX: Amendments
Proposed amendments to the bylaws must be submitted in writing to the Bylaws Committee. Upon proper notification, the bylaws may be amended by 25 residents/Social Club members of Village at Riverwalk, present at any scheduled business meeting. Once approved the amended bylaws are effective immediately.
ARTICLE X: Procedure
“Roberts Rules of Order Newly Revised” procedures will be the parliamentary procedures for all meetings.
